Subscription Agreement

Parties:
This Agreement is between Code 143 ("Service Provider"), located at 17 Bellevue Road, Cowes, Isle of Wight, and the undersigned Client ("Client").

Services Provided:

  • Code 143 will provide digital marketing services, which may include content creation, social media management, email marketing, website optimisation, SEO, and other agreed-upon digital marketing tasks.

Subscription Plans:

  • The Client may choose from three subscription plans, as outlined in the attached Schedule A. Each subscription plan is structured to cater to varying needs and budgets. A one-off consultancy service is also available upon the Client’s request for an additional fee.

  • Term of Agreement

  • The maximum term for this Agreement is six (6) months from the Start Date. Once the term is over, the Client must resubscribe if they wish to continue services.

Fees and Payment:

  • The Client agrees to pay the subscription fees specified in Schedule A. All fees are payable monthly, in advance, on or before the first business day of each month. Payment methods include Visa, Mastercard, Paypal, Wix Payments, Google Pay, Apple Pay. Late payments may incur a late fee of 5%.

Termination and Cancellation:

  • Maximum Term: The Client’s subscription will last for a maximum of six (6) months.

  • Resubscription: If the Client wishes to continue services after the term ends, they must enter into a new agreement.

  • Early Cancellation: If the Client wishes to terminate the subscription within the 6-month term, they must provide Code 143 with one (1) month’s written notice.

  • Payment Obligation: The Client agrees that payments will continue to be taken until the end of the notice period.

 

Additional Services:

  • If the Client requires the one-off consultancy service or additional services outside the agreed subscription, these will be invoiced separately at the rates specified in Schedule B.

Confidentiality:

  • Code 143 agrees to keep all proprietary information provided by the Client confidential and only use it for purposes related to delivering the services.

Limitation of Liability:

  • While Code 143 aims to provide high-quality digital marketing services, the results are influenced by various factors beyond our control. Code 143 is not liable for specific outcomes or any indirect, incidental, or consequential damages arising from the services provided.

 

Amendments and Waivers:

  • This Agreement constitutes the entire agreement between the parties. Any modifications must be in writing and signed by both parties.

Schedule A: Subscription Plans fees:
1: £ 250 / monthly rate (unless discount code applied), 6 months / 5 hours per month.
2: £ 500 / monthly rate (unless discount code applied), 6 months / 10 hours per month.
3: £ 1,000 / monthly rate (unless discount code applied), 6 months / 20 hours per month.

Schedule B: Additional Services:

Brand Consultancy fee: £ 250 / 45 minute rate
